Application
The terms and conditions apply to all orders executed unless explicitly agreed otherwise in writing. The terms and conditions apply to the execution of the order as described in the written order, which includes the delivery date, the content of the order, and the payment agreement, this latter stipulating the amount, procedure and time.

Conclusion of the agreement
The agreement is concluded on the reception of the order signed by the client.

Changing and cancelling the order
If the client changes or cancels the order, it is obliged to pay the part of the work already completed. The contract may be terminated only via a written document to that effect.

Liability
I am liable for damage directly provable and attributable to a mistake I may have made in a translation, but I am not liable for any other type of damage, including commercial damage or damage resulting from the failure of the client to respect a deadline. My responsibility is limited to an amount equal to the total invoice, excluding VAT, for the order in question. I am not responsible for inexactitudes and errors resulting from sources supplied by the client, notably for erroneous interpretations of ambiguous sources, where these last have not been clarified by the client or where the interpretation can be reasonably deducted from the context.
In the event of any doubt, I undertake to request any additional information whenever necessary from the client. In return, the client undertakes to provide me with this information. Failing this, and for the part of the order concerned, the client frees me from any and all responsibility.
The client notes that I shall not be responsible neither for the loss or late delivery by a third party of the source text or the completed translation, nor for any delay in the completion of the order caused by force majeure or occupational incapacity of any nature. I undertake to inform the client of such events in as timely a manner as possible.

Complaints
The customer shall send in writing any complaints about the completed work within 20 business days.
For justified complaints, I undertake to correct the work in a manner that satisfies the needs of the customer. Failing that, I agree to offer the customer a reduced price. A complaint in no way interrupts the agreed-upon payment period.

Rights
Before submitting a document for translation, the customer ensures that it has the required rights; either it is the author of the original document or has obtained prior written consent for the translation from the party holding the rights to the document. Failing that, I shall in no way be held responsible in the event that all or part of the documents entrusted to me by the customer should infringe intellectual property rights or any other right of a third party or any applicable regulation. Where applicable, the customer alone bears responsibility for any and all financial consequences and damages resulting from its negligence alone. Moreover, the customer acknowledges that the completed translation constitutes a new document, the rights for which are held jointly by the author of the original document and the translator. As a result, for works of a literary or artistic nature, and without prejudice to the rights held by the author, I reserve the right to have my name mentioned on all copies or publications of the document in compliance with the Code de la Propriété Intellectuelle, as set forth in paragraph L. 132-11.

Confidentiality
I undertake to respect the confidentiality of the information that comes to my knowledge before, during or after the translation process. The original documents are returned to the customer on request. I shall not be held responsible for any interception or diversion of information occurring during the transfer of the data. Consequently, it is the customer's responsibility to inform me, prior to or during the order, of the transfer method it wishes to use so as to ensure the confidentiality of any sensitive information.

Delivery
If for any reason I am unable to respect the delivery date, resulting from an incorrect estimation of the work involved, I undertake to inform the customer in as timely a manner as possible. In this event, the customer has the right to terminate the agreement if the delivery date fails to meet its needs. If the customer wishes to receive the completed part of the order, an invoice will be produced for that part of the order, at the same rate as the original order, to an amount corresponding to the work completed.

Payment
In the absence of particular conditions, all invoices are understood as net, without discount and payable within 30 days of the reception of the invoice. In the event of late payment, orders underway may be suspended until the customer has settled the payment in question. Moreover, sums unpaid at the agreed-upon time will be completed by a penalty equal to the most recent refinancing rate of the European Central Bank, increased by seven points, as provided for in European Directive 2000/35/EC, without prejudice to any damages and interest, starting from the due date, with no prior warning required. The translation remains my property until complete payment has been made.

Competent jurisdiction

In the event of any dispute concerning the application of these terms and conditions, the Paris (France) court will have sole jurisdiction concerning litigation. These terms and conditions shall be governed solely by French law and are adapted from recommendations of Société Française des Traducteurs.
